Hillier Hopkins Company Secretarial Services

Identity theft is not limited to individuals. More and more companies are experiencing corporate fraud and money laundering activity in their name. Details are being fraudulently given to Companies House to add directors to companies and to change the registered office.

Fixed Fee Package

Hillier Hopkins LLP has an experienced specialist department providing a complete company secretarial service to our corporate clients. The fixed fee Company Secretarial Package offers:

  • Protected online filing, which stops fraudulent changes to directors and registered offices.
  • Registered office at our address.
  • Annual return, including filing fee.
  • Maintaining the statutory registers (limits apply).
  • Filing changes to directors, company secretary and registered office.
  • Filing changes of Accounting Reference Date.

You can choose any one of our four office addresses to be your registered office address, regardless of which office you deal with for the work we undertake for you. Please remember that you will need to change your corporate stationery to reflect the new registered office address.

Other Services

We aim to provide our clients with an extensive company secretary service, including services traditionally undertaken by solicitors. We can provide a more cost effective alternative to engaging costly legal services.

This list is not exhaustive but covers the main company secretarial services that do need professional expertise and are necessary by Statute in most cases:

  • Review and revising of the Memorandum & Articles of Association of any company, particularly in light of the 2006 Companies Act changes, to suit the Company’s changing circumstances. We are all too aware many companies have M&A’s, which have not been drawn up correctly or do not suit present circumstances.
  • Formation of Public and Private Companies and LLP’s.
  • Conversion of Private Companies to PLC’s or vice versa.
  • Striking-off of Companies no longer required.
  • Inland Revenue share transfer stamping services, as required.
  • Advising on technical procedures concerning company compliance regarding secretarial matters that might arise from commercial decisions or members arguments within client companies.
  • For more formal or larger companies the drawing up of compliant Notices for AGM’s and EGM’s, preparing, issuing and collating proxies for meetings. Also, where necessary, assist at meetings as required including provision of any Chairman’s script and completing and filing Minutes of Meetings.

Company share reorganisations including increases or reductions in share capital or setting up new classes of shares and the appropriate amendments to the company’s statues including filing requirements.
